Fintel Senior Independent Director Imogen Joss to Step Down

Fintel, a provider of fintech and support services for the UK retail financial services sector, today announced that Imogen Joss, its Senior Independent Director, will resign from the board. Her departure is scheduled to take place at the company's upcoming Annual General Meeting (AGM) on May 20, 2025.

Imogen Joss joined Fintel's Board in January 2021. The company stated that her decision to step down is for personal reasons.

Fintel also announced the planned succession for the Senior Independent Director role. Tim Clarke, currently a Non-Executive Director and Chair of the Audit and Risk Committees, will assume the position of Senior Independent Director following Ms. Joss's resignation.

The board is reportedly nearing the conclusion of an external recruitment process to identify a replacement for Ms. Joss. A formal appointment is anticipated before the AGM. The individual appointed will join the Board and take on the role of Chair of the Remuneration and Nomination Committees upon commencing their duties.

As a result of Imogen Joss's decision to step down from the board at the AGM, the board has opted to withdraw Resolution 8 from the AGM agenda. This resolution had proposed the re-election of Imogen Joss and is now redundant following this announcement. The numbering of all other proposed resolutions for the AGM remains unchanged.
