ASIC Imposes Eight-Year Ban on JB Markets Director

The Australian Securities and Investments Commission (ASIC) has banned Peter Aardoom, the sole director of JB Markets Pty Ltd, from providing financial services and holding any financial services-related positions for a period of eight years. This decision, effective as of 19 February 2025, follows serious findings of misconduct that have led ASIC to question Aardoom's fitness to operate within the financial services sector.
In its investigation, ASIC uncovered that in 2021, Aardoom orchestrated a misleading financial arrangement between JB Markets and another company. A $540,000 payment, which was intended as an equity investment in JB Markets, was falsely documented as a loan. Despite the transaction's nature, Aardoom failed to issue shares to the company in return for its investment within the legally required timeframe
Further investigation revealed that Aardoom continued to engage in deceptive practices during the small business restructure process in 2023. He provided the false loan agreement and additional restructuring documents to a practitioner, creditors, and ASIC, falsely representing the company as a creditor in order to gain influence over the restructuring vote. This allowed the company to reduce the overall liabilities of JB Markets, ensuring the restructuring would remain under the $1 million threshold, a key condition for a small business restructure.
ASIC's findings led it to believe that Aardoom's actions were not only dishonest but also indicative of a broader pattern of misconduct. As a result, the regulatory body decided that he is not a suitable person to engage in the financial services industry.
This action by ASIC also led to the cancellation of JB Markets' Australian Financial Services (AFS) licence, effective from 12 April 2024. However, JB Markets has formally requested a review of this decision through the Administrative Review Tribunal. Aardoom also retains the right to appeal ASIC's ban, should he wish to challenge the ruling.
