Broadridge to Add On-Chain Governance and Digital Transfer Agency to NYSE Tokenized Securities Platform

Broadridge Financial Solutions Inc (NYSE:BR) plans to bring on-chain shareholder governance and digital transfer agency services to the New York Stock Exchange’s tokenized securities platform, the company announced on Monday. The launch is scheduled to follow regulatory approval.

Under the arrangement, NYSE will use Broadridge’s governance smart contracts to connect tokenized securities to meeting agendas, voting rules and verifiable results. The framework supports proxy material distribution and digital wallet authentication linked to verified voting entitlements, helping investors exercise shareholder rights as ownership moves on-chain. Investors can access Broadridge’s on-chain governance services through supported wallets, broker interfaces or ProxyVote, depending on their preferences.

Broadridge said the integration of its digital transfer agency service expands the NYSE platform’s connectivity with digital transfer agency services, giving issuers greater choice in how they bring their equities on-chain. The services will enable NYSE-listed issuers to tokenize their stock for trading on the platform, connecting issuer services with digital trading infrastructure.

Tim Gokey, CEO of Broadridge, said the company is building the governance layer for tokenized equities and is bringing its digital and traditional transfer agency services and proxy voting capabilities together in one solution, regardless of how shares are traded or where they are held.

Lynn Martin, President of NYSE Group, said tokenization has the potential to transform how issuers interact with shareholders. She said onboarding Broadridge’s digital transfer agency service combines trust and innovation, and that partnering with NYSE advances the goal of connecting tokenized trading, clearing and shareholder governance across a more unified ecosystem.

The partnership brings together stock tokenization, transfer agency services, shareholder communications, proxy voting and digital identity capabilities to connect tokenized stock ownership with the infrastructure that supports public company governance.
