FD Technologies Unveils Merger of MRP with CONTENTgine, Plans to Split KX and First Derivative

FD Technologies, the global leading technology provider in the financial industry, unveiled recently a major transformation, considering separation of its its three businesses, including MRP, KX and First Derivative, to best deliver value for shareholders.
As a first step towards this goal, the Group has agreed to an all-share merger of its MRP business, a leading global predictive intelligence organization, with CONTENTgine, a provider of B2B technology buyer insights and lead generation.
Through the merger, the Group looks to build a top-tier provider in the B2B demand generation services market, which will be led by MRP CEO Christopher Rack, assisted by the three founders of CONTENTgine. FD Technologies will own 49% of the combined entity.
For the financial year ending 28 February 2023, revenue created by MRP was £41.5m, with adjusted EBITDA of £1.4m. However, in the six months ending 31 August 2023, the business generated revenue of £15.7m, but incurred an adjusted EBITDA loss of £0.2m.
Additionally, the Group seeks to separate KX, the database for vector, time series and real-time analytics, and First Derivative, a technology provider for investment banks and other financial companies.

FD Technologies' revenue for FY23 reached £296 million, an increase of 12% comparing to £263.5 million in FY22.
