FINMA Closes Case Against Leonteq for Risk Management Failures

Source: Chow

20120ab0ce73dedad9e4d6e01fa5711.jpegThe Swiss Financial Market Supervisory Authority (FINMA) has concluded its enforcement proceedings against Leonteq Financial Group (LTQ) due to significant lapses in risk management and suitability requirements related to the distribution of its financial products. This investigation revealed that LTQ had failed to adequately oversee its distribution networks, particularly involving unregulated foreign distributors.

FINMA's findings indicated that LTQ's business model allowed for the sale of structured investment products through external distributors, a practice that was not sufficiently monitored. Some distributors operated without proper regulatory oversight, selling products in jurisdictions where they lacked the necessary licenses. This not only contravened contractual agreements but also exposed LTQ to substantial regulatory risks.

As a result of these violations, FINMA has imposed a series of corrective measures on LTQ. The financial group is now required to work exclusively with foreign distributors that are regulated in a manner comparable to Swiss standards. Additionally, LTQ must terminate any existing arrangements with unregulated distributors immediately. FINMA has ordered the disgorgement of profits amounting to CHF 9.3 million, which were generated through dealings with two non-compliant distributors.

In response to the investigation, LTQ has already undertaken significant organizational changes, including enhancing its compliance protocols and dismissing questionable distributors. However, FINMA has mandated further improvements to LTQ's corporate governance. The authority requires that the roles and responsibilities within LTQ's management be clearly documented and that governance issues be reported comprehensively.

Moving forward, LTQ must refrain from onboarding any new distributors categorized as high risk until it can demonstrate full compliance with regulatory standards. To ensure adherence to the imposed measures, FINMA will appoint an audit mandatary to oversee LTQ's operations and report back on the implementation of the required changes.

LTQ's cooperation during the investigation was noted, but the seriousness of the violations necessitated regulatory intervention to safeguard market integrity. The decision by FINMA is not yet final, as LTQ has the right to appeal. Nevertheless, this case underscores the importance of robust risk management practices and compliance in the financial sector, especially when engaging with external distribution partners. As the situation develops, the focus will remain on LTQ's ability to restore its standing and operate within the legal framework set by Swiss regulations.
