Former Berndale Director Pleads Guilty to Financial Offenses

On 16 September 2024, Daniel Kirby, the former director of the now-collapsed Berndale Capital Securities Pty Ltd, appeared before the Melbourne Magistrates' Court, where he pleaded guilty to several serious charges. These include one count of dishonest conduct in relation to a financial service, one count of dishonestly using his position as a director, and one count of providing false or misleading information to an auditor. This plea was made on the first day of what was scheduled to be a four-day committal hearing.

The Australian Securities and Investments Commission (ASIC) had previously revoked Berndale's financial services licence in November 2018, citing significant compliance issues. These included failure to adhere to statutory reporting obligations and concerns regarding the competence and training of its representatives to provide financial services. In a troubling revelation, it was discovered that Kirby illegally transferred company funds for personal benefit and that of associates shortly after the licence was revoked. Notably, some of these transactions occurred just hours after the cancellation.

Kirby also faced accusations of submitting false documents to the company's auditor regarding the status of overseas bank accounts, which either did not exist or were grossly misrepresented. Berndale's operational requirements included maintaining a minimum level of net tangible assets and filing audited financial reports, both of which Kirby violated. Following his guilty plea, Kirby was committed to the Federal Court of Australia for sentencing, with his first appearance scheduled for 30 September 2024. Meanwhile, his co-defendant, former director Stavro D'Amore, has pleaded not guilty to similar charges and will face trial, with the matter set for directions on the same date.
