Ryan Cohen, the CEO of GameStop, has reached a settlement with the U.S. Federal Trade Commission (FTC) that requires him to pay nearly $1 million due to allegations of failing to report the acquisition of more than $100 million in voting shares of Wells Fargo.

The FTC's investigation revealed that Cohen did not notify the agency as required when he amassed these shares in 2018, a significant oversight given his active involvement in the bank's management, where he provided input on strategic decisions and sought a position on the board. The agency emphasized that such actions were not solely those of an investor but rather a significant engagement with corporate governance.

Cohen eventually reported these transactions to the FTC in 2021, but the initial lack of disclosure raised serious questions about compliance with securities regulations. An attorney for Cohen has not yet responded to inquiries regarding the settlement details, leaving some aspects of the case unclear.
