JPMorgan to Pay $151 Million in SEC Settlement
JPMorgan Chase has reached a settlement with the Securities and Exchange Commission (SEC), agreeing to pay a total of $151 million due to multiple enforcement actions. This agreement involves its affiliates, JPMorgan Securities and JPMorgan Investment Management, and was announced on Thursday.
The SEC identified a range of alleged violations, including misleading disclosures and breaches of fiduciary duty. In one significant case, JPMorgan Securities (JPMS) was found to have provided deceptive information to investors in its Conduit private funds. These funds, which invested in private equity and hedge funds, misled clients about the firm's control over stock sales, leading to substantial losses due to market fluctuations. To compensate, JPMS will distribute $90 million among over 1,500 investor accounts and pay an additional $10 million in penalties.
Another enforcement action revealed that JPMS had failed to inform clients about financial incentives that encouraged financial advisors to favor JPMorgan's proprietary Portfolio Management Program, resulting in a substantial increase in assets under management from $10.5 billion to over $30 billion. This violation of the Advisers Act has led to a $45 million penalty.
Additionally, JPMS was found to have recommended its higher-cost "Clone Mutual Funds" to clients instead of more affordable ETFs that offered similar investment portfolios. This practice, affecting over 10,000 customers, violated the SEC's Regulation Best Interest (Reg BI), prompting a return of $15.2 million to affected clients.
In separate actions, JPMorgan Investment Management faced penalties for transactions that favored its affiliated entities at the expense of U.S.-based clients, including a $5 million fine for $4.3 billion in prohibited joint transactions in March 2020. The firm also executed principal trades involving commercial paper and other short-term securities without proper disclosures, resulting in a $1 million penalty.
JPMorgan has expressed its commitment to upholding high standards in client service and has stated that it actively engages with regulators to address any identified issues.
