London Stock Exchange Group plc (LSEG) has announced the launch of a share buyback program worth up to £1 billion, aimed at reducing the company's share capital.

Under the plan, the company will repurchase its ordinary shares of 6 79/86 pence each through an arrangement with Citigroup Global Markets Limited. Citi will act as a "riskless principal," making trading decisions independently of LSEG and within pre-set parameters agreed with the company.

Purchases will begin immediately and are scheduled to conclude no later than 25 February 2026. Transactions will take place on the London Stock Exchange and/or Turquoise Equities Trading. Shares acquired by Citi will subsequently be on-sold to LSEG for cancellation upon settlement.

The buyback will be conducted in line with the authority granted by shareholders at LSEG’s annual general meeting on 1 May 2025, which permitted the repurchase of up to 53,060,997 shares. As of this announcement, 39,787,711 shares remain available under that authorization following previous buyback programs with Morgan Stanley & Co. International plc and Goldman Sachs International, completed on 13 June 2025 and 3 November 2025, respectively.

According to LSEG, the purpose of the program is to "reduce the share capital of LSEG." The agreement with Citi includes standard termination rights for both parties.
