Nasdaq Completes Public Offering of $1900,000,000 Senior Notes
The global leading electronic marketplace Nasdaq has announced the completion of a senior notes offering to fund for the acquisition of Verafin Holdings.
The offering includes the "2022 Senior Notes" of $600,000,000 aggregate principal amount, the "2031 Senior Notes" of $650,000,000 aggregate principal amount and the "2040 Senior Notes" of $650,000,000 aggregate principal amount, due 2022, 2031 and 2040 respectively.
According to the release, the company expects to use the net proceeds from the offering, together with cash on hand and proceeds of other debt, to fund the cash consideration payable in connection with its pending acquisition of Verafin, to repay certain outstanding indebtedness of Verafin and its subsidiaries and to pay related expenses, and for general corporate purposes.
Let's recall that, on November 19, 2020, Nasdaq announced that it has entered into a definitive agreement to acquire Verafin for US$2.75 billion in cash.
