Nuvei to acquire Payoneer for $2.75bn

Under the terms, Nuvei will acquire all outstanding shares of Payoneer Global Inc. for $7.40 per share in cash, representing a total equity value of approximately $2.75 billion.

Phil Fayer, Chairman and CEO of Nuvei, stated the acquisition marks a defining step in the company's evolution into a global financial infrastructure leader. He said the combination will offer businesses a more complete platform for payments, fund transfers, card issuance, treasury management, and embedded financial services.

The transaction combines Nuvei's payment acceptance capabilities with Payoneer's cross-border payouts, multi-currency accounts, and banking network, including same-day settlement in over 150 markets. The unified infrastructure will support customers on platforms such as Amazon, eBay, Walmart, and Shopify.

A key component is Payoneer's global regulatory footprint, including licenses for online payment services in mainland China and in-principle authorization as a cross-border payment aggregator in India. The deal also enhances Nuvei's support for emerging models like agentic commerce and stablecoin payments.

Payoneer CEO John Caplan noted his company's two-decade record of building trust and said the combination with Nuvei will extend their customer offerings to more businesses and markets.

The deal has been approved by both companies' boards and is expected to close in mid-2027, pending shareholder and regulatory approvals. Goldman Sachs and Barclays advised Nuvei, while Qatalyst Partners advised Payoneer. Financing is being provided by BMO Capital Markets, RBC Capital Markets, Barclays, UBS, and Wells Fargo.
