PicPay Submits SEC Filing for Potential U.S. IPO

Brazilian digital bank PicPay has filed a registration statement with the U.S. Securities and Exchange Commission for a potential initial public offering of its Class A common shares, according to a company announcement.
Details of the proposed offering, including the number of shares and the expected price range, have not yet been disclosed. The transaction remains subject to market conditions and the completion of the SEC's review process.
If the IPO proceeds, PicPay plans to list its Class A common shares on the Nasdaq Global Select Market under the ticker symbol "PICS."
Citigroup, BofA Securities, and RBC Capital Markets are acting as joint global coordinators for the offering. Mizuho and Wolfe | Nomura Alliance are serving as joint bookrunners, while FT Partners is participating as co-manager.
PicPay also disclosed that Bicycle Capital, a growth equity firm focused on Latin America and other markets, has provided a non-binding indication of interest to purchase Class A common shares in the proposed offering.
The company noted that any offering would be conducted solely through a prospectus.
