Prometheum Bolsters Digital Asset Infrastructure with New Registrations and Acquisition

Prometheum Inc., a market infrastructure provider for blockchain-based securities, has announced the registration of Prometheum Coinery LLC as a digital transfer agent with the U.S. Securities and Exchange Commission ("SEC"). Concurrently, the company also disclosed the acquisition of ProFinancial Inc., which is an SEC-registered and FINRA member broker-dealer.
These additions are intended to enable Prometheum to support the complete lifecycle of securities issued and transferred on the blockchain. This includes services ranging from capital formation and tokenization to secondary market trading, custody, clearance, and settlement, all to be facilitated through its network of SEC-registered and FINRA member broker-dealer affiliates.
Aaron Kaplan, founder and co-CEO of Prometheum Inc., commented on the developments, stating, "Financial institutions are increasingly exploring how to issue and distribute securities and investment funds on-chain without stepping outside the bounds of U.S. securities laws." He added that in the current market, "blockchain issuance alone isn't enough - firms need infrastructure that mirrors the functionality of capital markets." Kaplan emphasized that with these new capabilities, Prometheum aims to empower issuers with a vertically-integrated solution for capital formation, qualified custody, secondary trading, and post-trade services, all operating within the framework of U.S. securities laws.
Prometheum Coinery is expected to provide on- and off-chain shareholder recording and facilitate corporate actions such as dividend distributions and governance processes. ProFinancial, as a broker-dealer authorized to conduct primary sales of equity, debt, mutual funds, and other securities products, will enable capital formation for product issuers. These newly acquired capabilities are designed to complement Prometheum ATS and Prometheum Capital, which are intended to provide services for on-chain securities trading, custody, clearing, and settlement. Through its SEC-registered and FINRA member broker-dealers, Prometheum states it offers a unified platform for issuers and investors seeking access to blockchain-based investment products within the framework of U.S. securities regulations.
