Republic Europe Introduces Kraken SPV for European Retail Investors
Republic Europe has launched a special purpose vehicle (SPV) that offers European retail investors indirect exposure to Kraken, the privately held US-based cryptocurrency exchange. Branded as the Kraken SPV, the structure provides economic exposure to Kraken’s equity without granting direct share ownership.
The launch comes amid growing expectations that Kraken is preparing for a public listing. The exchange has been reported to be targeting an IPO following a valuation of around $20 billion, placing it among the largest private companies in the crypto sector.
According to Republic Europe, the SPV is designed to open private-market access to non-institutional investors, a segment that has traditionally been excluded from late-stage private equity opportunities. Investors participate through the vehicle rather than holding Kraken shares directly, a structure that typically involves limited liquidity until a major event such as an IPO.
“With many companies staying private for longer, the most significant wealth creation opportunities do not enable access for the masses,” said Theodora Bishop, senior investment manager at Republic Europe.
The Kraken SPV forms part of Republic Europe’s broader push to expand retail access to mature private companies. While the offering provides early exposure ahead of any public listing, investors are expected to face long holding periods and restricted exit options until a liquidity event occurs.
