Ripple Secures $500M Investment at Record $40B Valuation Amid XRP Volatility

Ripple has completed a $500 million share sale that values the company at $40 billion, establishing it as the most valuable privately held cryptocurrency firm. The funding round attracted prominent investors from traditional finance and the crypto sector, including Citadel Securities, Fortress Investment Group, Marshall Wace, Brevan Howard, Galaxy Digital, and Pantera Capital.

According to a report by Bloomberg, the deal structure includes significant protections for investors, reflecting a cautious approach by institutional capital. Terms of the agreement reportedly grant investors the right to sell shares back to Ripple after three to four years with a guaranteed 10% annualized return. If Ripple initiates the buyback, that guaranteed return increases to 25%. Additionally, new shareholders hold a liquidation preference, giving them priority over existing shareholders in the event of a sale or bankruptcy.

The valuation comes despite recent volatility in the price of XRP, the digital asset closely tied to Ripple. Funds estimate that at least 90% of Ripple’s net asset value is derived from its XRP holdings. While the token has declined approximately 40% from its mid-July peak, Ripple's treasury of XRP was valued at roughly $83.3 billion as of early December.

Beyond its capital raise, Ripple has been expanding its operational footprint. The company recently acquired treasury software provider GTreasury for $1 billion and launched "Ripple Prime," a digital asset spot prime brokerage for U.S. institutions, following its acquisition and rebranding of Hidden Road.
