SEC Files Complaint Against Invesco Alpha for Alleged Misrepresentations
The Securities and Exchange Commission (SEC) has filed a lawsuit against Invesco Alpha Inc., an alleged investment adviser. The complaint, lodged on November 13, 2025, in the Colorado District Court, alleges material misrepresentations and unsubstantiated statements made by Invesco Alpha in a public filing.
The SEC states that Invesco Alpha's Form ADV, submitted on May 30, 2024, contained inaccuracies regarding its organization, office location, assets under management, and client information. Specifically, the form indicated an office at 9888 W. Belleview Avenue, Denver, Colorado 80123, with Chi Keong Tang as CEO. It also claimed $5 million in U.S. assets under management and advised a private fund named Invesco Alpha Inc., with a separate registered investment adviser (RIA) reporting information on this fund.
The SEC's complaint notes that while 9888 W. Belleview Avenue with the specified zip code exists in Littleton, Colorado, it is not in Denver. The current occupant of the Littleton address reportedly has no knowledge of Invesco Alpha or its CEO. Furthermore, the SEC found no record of the purported private fund being reported by any RIA or other Commission filings.
Invesco Alpha also reportedly failed to respond to an SEC request for records to substantiate the information on its Form ADV, including the amount of private fund assets under management.
The SEC accuses Invesco Alpha of violating Sections 204(a) and 207 of the Investment Advisers Act of 1940. The Commission seeks a permanent injunction against future violations, an injunction preventing Invesco Alpha and its leadership from filing as an exempt reporting adviser, and a civil money penalty.
