SIX to Acquire Worldline’s Electronic Data Management Business, Plans to Treat Stake as Financial Investment

Swiss financial infrastructure provider SIX has agreed to acquire the electronic data management business from Worldline, formerly CETREL Securities. The unit supports clients in meeting regulatory compliance requirements and reducing related risks.
SIX said the acquisition will strengthen its position in the growing area of sanctioned securities monitoring, aligning with the group’s broader growth strategy. The transaction is expected to close in the first half of 2026, subject to regulatory approvals.
In a separate announcement, SIX confirmed its support for Worldline’s transformation plans and stated it would vote in favor of the related proposals at the company’s upcoming extraordinary general meeting. However, SIX said it will not participate in Worldline’s planned capital increase, citing its capital allocation and growth priorities.
SIX also disclosed that its 2025 group net result will include an estimated non-cash impact of approximately CHF -550 million related to Worldline, primarily reflecting the goodwill impairment announced with Worldline’s 2025 half-year results. Excluding this effect, SIX expects its adjusted net result for 2025 to be around CHF 250 million. The board plans to propose maintaining a stable dividend for the year.
Following the expected dilution of its stake and the upcoming resignation of Giulia Fitzpatrick from Worldline’s Board of Directors before year-end, SIX said it will manage its remaining shareholding in Worldline as a financial investment going forward.
