Vista Teams Up with Evercore to Sell Finastra's TCM Business

​Vista Equity Partners has announced a strategic collaboration with Evercore, focusing on the potential sale of Finastra's treasury and capital markets (TCM) business. This partnership comes as Vista seeks to capitalize on the TCM unit, which has reportedly generated nearly USD 200 million in annual earnings before interest, taxes, depreciation, and amortization.

According to sources familiar with the matter, the sale could bring in a minimum of USD 2 billion, although a final decision has yet to be reached, leaving open the possibility that Vista may choose not to proceed with the sale. The TCM division, part of Finastra - formed in 2017 from a merger of Misys Group and D+H Corp - provides crucial software solutions for financial institutions, aiding in trade processing, risk management, and compliance.

The announcement also follows previous discussions about Finastra's intention to sell its banking unit for nearly USD 7 billion, reflecting ongoing strategic shifts within the company. This past February, reports indicated that Finastra was consulting with financial advisors to explore its options, generating around USD 1.7 billion in revenue and approximately USD 500 million in earnings before interest, taxes, depreciation, and amortization at that time.

As Vista and Evercore move forward with this initiative, the financial software sector watches closely, especially given the potential interest from private equity firms and competitors seeking to acquire the TCM unit.

Both Vista and Evercore have declined to provide comments on the recent developments, and a spokesperson for Finastra has yet to respond to inquiries regarding this strategic direction.
