Worldline SA Agrees to Sell India Payments Business to BillDesk for €60 Million

Worldline SA (EPA: WLN) announced a proposed agreement to sell its payment operations in India to BillDesk for an estimated equity value of approximately €60 million at closing.
The transaction carries an enterprise value of €37 million. As part of the agreement, Worldline and BillDesk plan to enter into a long-term technology partnership under which BillDesk will continue to use Worldline’s payment software solutions.
Worldline said the proposed disposal aligns with its strategy to focus on core payment activities in Europe while streamlining operations and reallocating resources. The company expects the transaction’s cash proceeds to support its financial position and capital redeployment plans.
The group added that combined net cash proceeds from previously announced disposals—including MeTS, Worldline North America, Cetrel, PaymentIQ, and Worldline India—are estimated between €540 million and €590 million, with funds expected to be received in 2026.
Completion of the India transaction is anticipated in the second half of 2026, subject to regulatory and customary closing conditions.
BNP Paribas acted as sole financial advisor to Worldline. Hogan Lovells served as international legal counsel, while Cyril Amarchand Mangaldas acted as Indian legal counsel.
